Platinum Lounge Terms of Service

BEFORE YOU GO ANY FURTHER READ THE FOLLOWING CAREFULLY. BY REGISTERING ON PLATINUMLOUNGE.COM YOU ACKNOWLEDGE, AFFIRM AND AGREE AS FOLLOWS:

(1) You have the ability as you register, to choose your username. We advise that you keep the name appropriate. With this user account you are about to register, you agree to never give your password out to another person except to an administrator of this site. You also agree to never use another person's account for any reason. We recommend that you use a complex and unique password for your account. You understand and agree that the owners/operators of this site shall have no liability nor in any be responsible if someone else gains access to and/or makes use of your account.

(2) Software used in connection with operating this site may place a cookie -- i.e., a text file containing bits of information (e.g., your username and password), in your browser's cache. This is only used to keep a record of whether you are logged in or out of the site and to help in displaying certain content or information. The software does not collect or send any other form of information to your computer.

(3) You acknowledge and agree that you will not post any material which is false, defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, profane, sexually oriented, threatening, invasive of a person's privacy, adult material, or otherwise in violation of any International or United States Federal or State laws.

(4) You also acknowledge and agree that spam, flooding, advertisements, chain letters and solicitations are forbidden on this site.

(5) You acknowledge and agree that (a) it is impossible for the owners/operators of this site to confirm the validity of user contributed information, (b) we cannot constantly monitor posted content, messages or videos, and as such, we are not responsible for anything contained on the site, (c) we do not warrant the accuracy, completeness, or usefulness of any information presented on this site, (d) user contributed information expresses the views of the author, and not the views of BigCity Entertainment, Inc. (doing business as "Platinum Lounge") or its staff, or anyone else associated with the ownership or operation of this site or any affiliated or associated sites.

(6) You acknowledge the right, but not the obligation, of the owners/operators of this site to remove inappropriate or objectionable content if they determine that removal is appropriate or necessary. You further acknowledge the right, but not the obligation, of the owners/operators of this site to (a) ban a user from this site, remove a user's profile and/or any other information related to or pertaining to a user and cancel all or any portion of a userÕs Performance Points if, in the opinion of the owners/operators of this site, such user has violated any of these rules or has otherwise conducted themselves in a manner inconsistent with the best interest of other users, or the owners/operators, of this site, (b) post information about such user in the ÒJail HouseÓ available for other users to view, and (c) reveal the identity (or any other related information collected on this site) with regard to any user of this site in the event of a complaint, threat or actual legal action arising from or otherwise related to such userÕs activities on or associated with this site or affiliated sites.

(7) You acknowledge and agree that it may be necessary or desirable for BigCity Entertainment, Inc. (doing business as Platinum Lounge) to engage the services of one or several third parties to assist in the conversion of Performance Points into a format that can be transferred to and used by you. You agree to abide by all requirements, rules and regulations promulgated by all such third parties with regard to conversion and use of Performance Points and you further acknowledge and agree that any failure by you to abide by all such requirements, rules and regulations may result in the immediate forfeiture by you of your Performance Points and/or any subsequent format into which they may be converted. You further agree to indemnify and hold harmless BigCity Entertainment, Inc. (doing business as Platinum Lounge), the owners/operators of this site and any related or associated sites, their staff and any associated persons and entities from and against any claims, liabilities or losses arising from, or in connection with, or in any way pertaining to, Performance Points and/or any subsequent format into which they may be converted.

(8) You agree not to post or otherwise contribute to this site any material protected by copyright unless you own all copyrights in the material or you have secured prior written consent from the owner(s) of the copyrighted material. You agree that you shall be solely responsible for the content of your posted messages, videos and other content contributed to this site and you further agree to indemnify and hold harmless BigCity Entertainment, Inc. (doing business as Platinum Lounge), the owners/operators of this site and any related or associated sites, their staff and any associated persons and entities from and against any claims, liabilities or losses arising from, or in connection with, or in any way pertaining to, any content contributed by you to this site. Subject to the foregoing, you agree that each time you submit any content, video or other information to this site (for these purposes, each such contribution shall be considered a "Work") that you simultaneously assign, transfer and convey to BigCity Entertainment, Inc. (doing business as Platinum Lounge) a fully paid up, perpetual, worldwide and assignable license to exercise all rights under Section 106 of the US Copyright Act of 1976, as amended, with regard to such Work including, but not limited to, the right to (a) reproduce the Work, (b) prepare derivative works based upon the Work, (c) distribute copies the Work to the public by sale or other transfer of ownership, or by rental, lease, or lending, (d) to perform the Work publicly, and (e) to display the Work publicly; provided, however, that BigCity Entertainment, Inc (doing business as Platinum Lounge) shall have no duty to account to you or to any other third party for any revenues, costs, profits or otherwise with regard to any use of such Work. BigCity Entertainment, Inc (doing business as Platinum Lounge) shall have the right to make full use of each such Work as provided above with no duty to account or otherwise report to you or to any third party with regard to such use. No such use by BigCity Entertainment, Inc (doing business as Platinum Lounge) shall in any way limit or otherwise impair your obligation to indemnify and hold harmless BigCity Entertainment, Inc. (doing business as Platinum Lounge), the owners/operators of this site and any related or associated sites, their staff and any associated persons and entities from and against any claims, liabilities or losses arising from, or in connection with, or in any way pertaining to, any content contributed by you to this site.

(9) You acknowledge and agree that (a) you have no legal or equitable right to any information, products, services, features, benefits or other attributes available directly or indirectly on or through this site (including, but not limited to, the right to become or remain a registered user or the right to Performance Points) and (b) no decision or action by the owners/operators of this site in connection with enforcement or policing of any of the foregoing shall give rise to any claims, in law or at equity, against or related to the owners/operators of this site or any related or associated sites, their staff or associated persons and entities.

(10) You acknowledge and agree that the above terms are deemed to have been made and entered into in the State of Colorado and shall be governed by the laws of the State of Colorado, without reference to the conflict of laws principles thereof. You acknowledge and agree that you irrevocably submit to the exclusive jurisdiction of Federal courts sitting in the State of Colorado with regard to any action or proceeding directly or indirectly related to (a) your use of this site or (ii) any claims, liabilities or losses arising from, or in connection with, or in any other way pertaining to, any interaction between you and BigCity Entertainment, Inc. (doing business as "Platinum Lounge") or its staff, or anyone else associated with the ownership or operation of this site or any affiliated or associated persons, entities and/or sites. You acknowledge and agree that you also waive any objections with regard to improper venue or inconvenient forum. You further acknowledge and agree that if any of these terms are found to be invalid or unenforceable by a court of competent jurisdiction that such provision(s) shall be deemed amended only to the minimum extent necessary for such term as modified and all remaining terms to remain in full force and effect.
